Service and eligibility
EIFS.ca is an independent technology marketplace for the façade and building-envelope industry. It provides discovery, Company profile, Project, communication, publication and membership tools. EIFS.ca is not a contractor, manufacturer, supplier, consultant, architect, engineer, insurer, broker, employment agency, payment escrow service or party to a contract between marketplace participants.
The private beta is intended for people who have reached the age of majority where they live and for authorized representatives of legitimate businesses or project owners. Users must provide accurate information, protect their account and credentials, promptly report suspected compromise, and have authority to act for every Company or Project they manage.
These Terms form an electronic agreement between the user and the operator of EIFS.ca. The operator's legal name, registered business address and tax information must be stated in the applicable order form or commercial document before any paid commercial service is activated.
Accounts and electronic acceptance
A user may not share an account, create accounts by automated means, transfer an account without approval, or use another person's identity. EIFS.ca may require verification information and may reject, restrict or close an account where identity, authority, safety or legal requirements cannot be confirmed.
Registration records the versions of the Terms of Service and Privacy Policy accepted by the user. Material policy changes will be presented before they apply to continued authenticated use where renewed consent is required. A user's continued use does not waive rights that cannot lawfully be waived.
Marketplace conduct
Users must not misrepresent qualifications, licences, insurance, certification, product performance, environmental benefits, availability, pricing or project facts; impersonate another person or Company; evade moderation; upload unlawful or infringing material; scrape restricted data; send unsolicited bulk messages; manipulate ranking or verification signals; or interfere with platform security.
Project Responses, invitations, matching explanations, messages and profile information are preliminary marketplace communications. Users remain responsible for independent due diligence, permits, professional advice, safety compliance and a separate written contract addressing scope, pricing, change orders, schedule, warranties, insurance and dispute resolution.
User content and intellectual property
Users retain ownership of content they submit. They grant EIFS.ca a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, moderate, display and transmit that content only as needed to operate, secure and promote the marketplace according to the visibility selected by the user. The licence ends when content is deleted, subject to backups, legal holds, audit evidence and content already shared with authorized recipients.
Users must have all rights and permissions needed for submitted text, images, drawings, trademarks and documents. EIFS.ca names, software, design and original editorial material remain protected and may not be copied or used to imply endorsement without written permission.
Availability, suspension and liability
EIFS.ca may moderate, suspend or remove content and access to protect users, comply with law or enforce these terms. The private beta may change or experience interruptions.
To the extent permitted by applicable law, the service and marketplace information are provided on an 'as available' basis without a guarantee of leads, ranking, verification, workmanship, product performance, project outcome, uninterrupted availability or error-free operation. EIFS.ca does not exclude liability that cannot lawfully be excluded.
To the extent permitted by law, EIFS.ca is not responsible for indirect, incidental, special, consequential or punitive loss, lost profit, lost opportunity or loss caused by a participant's work, product, statement or contract. Any aggregate platform liability arising from a paid service will be limited to fees paid for that service during the preceding twelve months; for a free beta service, the maximum aggregate amount is CAD $100. These limits do not apply where prohibited by law or to fraud, wilful misconduct, or liability that cannot be limited.
Indemnity and third-party services
To the extent permitted by law, a business user will defend and indemnify EIFS.ca against third-party claims caused by that user's unlawful content, infringement, material misrepresentation, breach of these Terms or contract with another participant. EIFS.ca will provide reasonable notice and control of the defence, and no settlement may impose an admission or obligation on EIFS.ca without consent.
The service may use or link to third-party providers such as hosting, database, email, storage, maps, analytics and payment services. Their availability and separate terms may apply to interactions conducted directly with them.
Termination, governing law and contact
A user may stop using the service and request account closure through Support. Provisions concerning intellectual property, confidentiality, completed transactions, audit evidence, disclaimers, liability, indemnity and disputes survive where their nature requires it.
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without giving effect to conflict-of-law rules. Courts located in Ontario have jurisdiction, subject to mandatory consumer, privacy or other rights that apply in a user's province, territory, state or country.
